Terms of Service

1. Acceptance of Terms

By accessing or using Vibranius ("the Service"), provided by Eveleone LTD ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Vibranius is a self-hosted, all-in-one business workspace solution deployed on dedicated servers for B2B clients. The Service includes:

• Cloud file storage and synchronization
• Document collaboration and live editing
• AI-powered assistant for business intelligence
• PDF processing and manipulation tools
• Electronic signature capabilities
• Password management for teams
• Knowledge base and wiki functionality
• Accounting document processing
• Single sign-on (SSO) authentication
• Automated backup and retention

3. User Accounts and Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Complying with these Terms and all applicable laws
• Ensuring your users have appropriate access permissions
• Backing up your data (we provide automated backups, but you maintain ultimate responsibility)

You must not:

• Share account credentials outside your organization
• Use the Service for illegal purposes
• Attempt to circumvent security measures
• Upload malicious content or software

4. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. Prohibited activities include:

• Storing or distributing illegal content
• Violating intellectual property rights of others
• Spam, harassment, or abusive behavior
• Attempting to gain unauthorized access to other systems
• Interfering with Service operation or security

We reserve the right to suspend or terminate accounts violating this policy.

5. Subscription and Payment

Commercial terms, included users, storage, and fees are set out in the order form or proposal accepted by the customer.

• Starter: €99/month for up to 5 users, 50 GB storage
• Business: €179/month for up to 15 users, 100 GB storage
• Enterprise: €299/month for up to 25 users, 250 GB storage

The modules and support included in the subscription are defined in the order form.

Billing frequency and payment methods are defined in the order form or invoice.

Fees exclude VAT unless stated otherwise.

6. Service Availability and SLA

Availability targets and maintenance windows are defined in the order form or a signed SLA, where applicable.

In the event of a service outage, we will:

• Notify you of planned maintenance and major incidents.
• Work to restore service as quickly as possible
• Apply the remedies defined in the signed SLA, where applicable

The SLA does not apply to outages caused by:

• Client network issues
• Third-party services beyond our control
• Force majeure events
• Client misuse or configuration errors

7. Intellectual Property

Your Data: You retain full ownership of all data uploaded to Vibranius, including documents, files, and content created by your users. We do not claim any ownership or license to your data.

Platform IP: Vibranius software, design, trademarks, and intellectual property remain owned by Eveleone LTD. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You may not:

• Copy, modify, or distribute the Vibranius software
• Reverse engineer or attempt to extract source code
• Remove or obscure proprietary notices

8. Data Privacy and Security

Customer data is hosted in the dedicated workspace in Finland. Some service providers may process limited data as described in the Privacy Policy, DPA, and Subprocessor List.

We implement industry-standard security measures including:

• Access controls and host-level security measures
• TLS 1.2 or later for data in transit
• Automated local backups; any off-site copy is defined in the order form
• Two-factor authentication (2FA)
• Audit logging for supported administrative events

We do not access your data except:

• With your explicit consent for support purposes
• As required by law
• To protect our rights or prevent fraud

9. Limitation of Liability

To the fullest extent permitted by law, Eveleone LTD shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of data, revenue, profits, or business opportunities
• Damages exceeding the amount you paid in the 12 months preceding the claim

This limitation applies to actions based on contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

10. Termination

By You: You may terminate your subscription at any time with 30 days written notice. Upon termination, we will:

• Stop all recurring charges
• Provide a full export of your data within 14 days
• Delete your server and all data 30 days after export delivery

By Us: We may terminate or suspend your account immediately for:

• Breach of these Terms
• Non-payment
• Violations of applicable law
• Abuse of the Service

Upon termination by us, we will provide a data export within 14 days.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus and the European Union. Any disputes arising under these Terms shall be resolved in the courts of Nicosia, Cyprus.

Before initiating legal proceedings, parties agree to attempt good faith resolution through negotiation.

12. General Provisions

We may update these Terms at any time. Material changes will be announced via email and in the Vibranius dashboard at least 30 days before taking effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right.

If any provision of these Terms is found invalid, the remaining provisions remain in full force.

You may not assign these Terms without our written consent.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Order Form, constitute the entire agreement between you and Eveleone LTD regarding the Service.
